REFUND AND RETURN POLICY

1. INTRODUCTION

This Refund and Return Policy ("Policy") applies to all purchases made through our online store specializing in women's watches (the "Website," "we," "us," or "our"), sold primarily to customers located in France, Germany, and other member states of the European Union and the European Economic Area ("EEA"), as well as to customers in other jurisdictions who choose to shop with us.

This Policy is intended to comply with Directive 2011/83/EU of the European Parliament and of the Council of 25 October 2011 on consumer rights (the "Consumer Rights Directive"), as implemented into the national law of EU member states, including the French Consumer Code (Code de la consommation) and the German Civil Code (Bürgerliches Gesetzbuch, "BGB"), as well as Directive (EU) 2019/771 on the sale of goods, which governs legal guarantees of conformity.

By placing an order with us, you agree to the terms of this Policy. Nothing in this Policy limits or excludes any statutory right you may have under the mandatory consumer protection laws of your country of residence, which take precedence over any conflicting provision of this Policy.

All requests for withdrawal, return, refund, or warranty claims should be directed to the email address above. We recommend using the withdrawal form provided in Section 5.5 below, though this is not mandatory.

3. YOUR RIGHT OF WITHDRAWAL (14-DAY "COOLING-OFF" PERIOD)

3.1 Scope of the Right of Withdrawal

If you are a consumer residing in the European Union or the European Economic Area, you have the right to withdraw from your purchase contract with us within fourteen (14) calendar days, without giving any reason and without incurring any costs other than those expressly set out in this Section, in accordance with Article 9 of the Consumer Rights Directive.

This right of withdrawal applies to consumers only, meaning natural persons who are acting for purposes which are outside their trade, business, craft, or profession. It does not apply to business-to-business transactions, unless the seller has voluntarily extended equivalent rights to business customers.

3.2 Withdrawal Period

The withdrawal period will expire fourteen (14) days from the day on which you, or a third party other than the carrier and indicated by you, acquires physical possession of the goods. Where an order comprises multiple goods delivered separately, the withdrawal period expires fourteen (14) days from the day on which you acquire physical possession of the last good.

3.3 How to Exercise the Right of Withdrawal

To exercise the right of withdrawal, you must inform us of your decision to withdraw from the contract by means of an unequivocal statement, sent before the expiry of the withdrawal period, by email to contact@minoran.com or by post to the address in Section 2. You may, but are not obliged to, use the model withdrawal form set out in Section 5.5. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.

3.4 Effects of Withdrawal

If you withdraw from the contract, we will reimburse to you all payments received from you, including the standard costs of delivery (but excluding any supplementary costs arising if you chose a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and, in any event, not later than fourteen (14) days from the day on which we are informed of your decision to withdraw from the contract.

We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. We may withhold reimbursement until we have received the goods back, or until you have supplied evidence of having sent back the goods, whichever is the earliest.

3.5 Returning the Goods

You must send back the goods or hand them over to us, at the address in Section 2, without undue delay and in any event not later than fourteen (14) days from the day on which you communicate your decision to withdraw from the contract. The deadline is met if you send back the goods before the period of fourteen (14) days has expired.

You will have to bear the direct cost of returning the goods, including the increased cost of international shipment from an EU member state back to Brazil. Because of the international nature of shipping, we strongly recommend using a trackable and insured shipping method, as we cannot process a refund for goods lost in transit back to us. You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods (that is, handling beyond what you would reasonably be allowed to do in a physical store).

3.6 Exceptions to the Right of Withdrawal

In accordance with Article 16 of the Consumer Rights Directive, the right of withdrawal does not apply to:

  • Goods made to the consumer's specifications or clearly personalized (for example, watches with custom engraving);
  • Sealed goods which are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery, where applicable to any accompanying items;
  • Goods which, after delivery, according to their nature, are inseparably mixed with other items.

Standard, non-personalized watches sold in their original, undamaged condition are generally eligible for withdrawal under Section 3.1 unless a specific product listing states otherwise (for example, in the case of made-to-order or engraved items, which will be clearly identified as non-returnable at the time of purchase).

4. RETURN CONDITIONS

4.1 Condition of Returned Goods

To be eligible for a full refund under the withdrawal right described in Section 3, returned watches must be in the same condition in which you received them: unworn, undamaged, with all original tags, protective film, warranty cards, boxes, and accessories included, and free of any signs of use beyond what is necessary to inspect the item as you would in a shop. Watches showing scratches, wear on the strap or casing, altered links, or other signs of use beyond inspection may be subject to a partial refund reflecting the diminished value, in accordance with Section 3.5.

4.2 Return Shipping Instructions

Before returning any item, please contact us at contact@minoran.com to confirm the return and receive shipping instructions. Items returned without prior notice may experience delays in processing. We recommend retaining proof of postage and using a trackable shipping service, as we cannot be held responsible for returned goods lost or damaged in transit.

4.3 Inspection and Processing

Once we receive your returned item, we will inspect it and notify you of the status of your refund. If your return is approved, your refund will be processed in accordance with Section 3.4. If your return does not meet the conditions in Section 4.1, we will contact you to discuss a partial refund or, if you prefer, return the item to you at your cost.

5. LEGAL GUARANTEE OF CONFORMITY (DEFECTIVE OR NON-CONFORMING GOODS)

5.1 Your Statutory Rights

Independently of, and in addition to, the withdrawal right described in Section 3, you benefit from the legal guarantee of conformity applicable under the law of your country of residence, in accordance with Directive (EU) 2019/771 on the sale of goods. This guarantee applies where goods delivered to you are defective, damaged, or do not conform to the contract (for example, incorrect item, missing parts, or a manufacturing defect), and is entirely independent of any commercial warranty we or a manufacturer may separately offer.

Under this legal guarantee:

  • In France, pursuant to Articles L217-3 et seq. of the Consumer Code, you benefit from a legal guarantee of conformity of two (2) years from delivery of the goods, during which any defect appearing within the first twelve (12) months is presumed to have existed at the time of delivery, unless proven otherwise, and, separately, a legal guarantee against hidden defects (garantie des vices cachés) under Articles 1641 et seq. of the Civil Code;
  • In Germany, pursuant to §§ 434 et seq. of the BGB, you benefit from a statutory warranty period (Gewährleistung) of two (2) years from delivery, during which any defect appearing within the first twelveen (12) months is presumed to have existed at the time of delivery, unless the presumption is incompatible with the nature of the goods or the defect;
  • In other EU/EEA member states, an equivalent minimum two (2) year legal guarantee of conformity applies under the national law implementing Directive (EU) 2019/771.

5.2 How to Make a Claim Under the Legal Guarantee

If you believe an item you received is defective or non-conforming, please contact us at contact@minoran.com as soon as reasonably possible, describing the defect and, where possible, including photographs. We will assess your claim and, where the guarantee applies, will offer, at your choice and free of charge, either repair or replacement of the goods, unless the remedy chosen is impossible or would impose disproportionate costs on us, taking into account the value the goods would have if there were no lack of conformity, the significance of the lack of conformity, and whether the alternative remedy could be provided without significant inconvenience to you.

If neither repair nor replacement is available, or if we fail to complete the repair or replacement within a reasonable time or without significant inconvenience to you, you are entitled to a proportionate price reduction or to terminate the contract and obtain a full refund, provided the lack of conformity is not minor.

5.3 Return Shipping Costs for Defective or Non-Conforming Goods

Where a lack of conformity or a defect is confirmed, we will bear the reasonable cost of returning the goods to us and of any repair, replacement, or redelivery, in accordance with Article 14 of Directive (EU) 2019/771. Please contact us before shipping any item back so that we may provide instructions and, where applicable, arrange or reimburse the return shipping cost.

5.4 Commercial Warranty

In addition to your statutory legal guarantee described above, certain watches may be sold with a separate, voluntary commercial warranty from the manufacturer or from us (for example, covering movement defects for a specified period). Details of any such commercial warranty, where applicable, are provided with the product or on the relevant product page. A commercial warranty never limits, replaces, or reduces your statutory legal guarantee of conformity described in Section 5.1, which remains fully available to you regardless of the terms of any commercial warranty.

5.5 Model Withdrawal Form

If you wish to withdraw from the contract in accordance with Section 3, you may (but are not obliged to) complete and send us the following form:

6. NON-RETURNABLE AND NON-REFUNDABLE ITEMS

Except as required by the mandatory legal guarantee described in Section 5, the following items are not eligible for return or refund under the withdrawal right described in Section 3:

  • Watches that have been custom-engraved, personalized, or made to the customer's specifications;
  • Gift cards or store credit;
  • Items explicitly marked as final sale or non-returnable at the time of purchase;
  • Items returned more than fourteen (14) days after you communicated your decision to withdraw, except where a longer period applies under the legal guarantee of conformity described in Section 5.

7. EXCHANGES

If you wish to exchange an item for a different size, model, or color, please contact us at contact@minoran.com. Where available, we will process this as a return under Section 3 or Section 5, as applicable, followed by a new order for the desired item. Exchanges are subject to stock availability at the time your original item is received and inspected.

8. DAMAGED OR INCORRECT ITEMS ON DELIVERY

If you receive an item that is damaged in transit, defective, or different from what you ordered, please contact us at contact@minoran.com within a reasonable time of discovering the issue, and in any event as soon as reasonably possible, including photographs of the item and its packaging where relevant. This situation is covered by the legal guarantee of conformity described in Section 5, and we will arrange for a free return, repair, replacement, or refund, at your choice, in accordance with Section 5.2, and will bear the associated return shipping costs.

9. LATE OR MISSING REFUNDS

If you have not received a refund within the timeframe described in Section 3.4, please first check your bank account again, then contact your card issuer or payment provider, as it may take some additional time before your refund is officially posted, particularly for international transactions between Brazil and the EU. If you have done this and you still have not received your refund, please contact us at contact@minoran.com.

10. INTERNATIONAL SHIPPING, CUSTOMS, AND DUTIES IN CONNECTION WITH RETURNS

Because our watches are shipped internationally from Brazil to France, Germany, and other EU/EEA destinations, returns are subject to customs procedures. Where you return an item under Section 3 (withdrawal) or Section 5 (defective/non-conforming goods), please clearly mark the package as "Returned Goods" on the customs declaration, and retain any customs paperwork issued at the time of your original purchase, where applicable, as this may be required to avoid additional import duties or delays upon the item's return to Brazil. We are not responsible for delays caused by customs authorities, but we will make reasonable efforts to assist you with any necessary documentation for a return.

Any import duties, taxes, or customs charges that were paid by you upon the original importation of the goods into the EU are not within our control and are generally non-recoverable from customs authorities upon return; however, where required by the legal guarantee described in Section 5, we will ensure that you are not left financially disadvantaged as a result of a confirmed defect or non-conformity, including reimbursing reasonable documented costs directly connected to the return of non-conforming goods.

11. ALTERNATIVE DISPUTE RESOLUTION

If you are a consumer residing in the EU and you are not satisfied with how we have handled a complaint, you may be entitled to refer the matter to an alternative dispute resolution ("ADR") entity, free of charge, in accordance with Directive 2013/11/EU on consumer ADR. In France, you may contact a consumer mediator listed on the register maintained by the Commission d'évaluation et de contrôle de la médiation de la consommation (CECMC). In Germany, you may contact the Allgemeine Verbraucherschlichtungsstelle or another competent conciliation body. The European Commission also operates an Online Dispute Resolution ("ODR") platform, accessible at ec.europa.eu/consumers/odr, which allows consumers to submit complaints regarding online purchases.

12. CHANGES TO THIS POLICY

We may update this Policy from time to time to reflect changes in our practices or in applicable legal or regulatory requirements. Any changes will be posted on this page with an updated "Last Updated" date at the top of this Policy. Changes to this Policy will not affect orders placed before the date of the change, which will continue to be governed by the version of this Policy in effect at the time of your order, except where a change is required by a mandatory legal provision, in which case the new mandatory provision will apply as required by law.
